We offer services that connect individuals for curated dinners and experiences based on shared preferences and interests (the "Services") via our website https://pyxi.ai (the "Site") and the Pyxi mobile application (the "Mobile App"), collectively referred to as the "Platform".

The Platform is owned and operated by Pyxi.

1. General Principles

These Terms of Service (the "Terms") constitute the sole agreement governing your use of the Platform and Services. By registering or using the Services, you agree to comply with these Terms in full. If you do not agree, you may not access or use the Services.

These Terms override any prior agreements. Failure by Pyxi to enforce a right does not constitute a waiver of that right.

2. Use of Third-Party Platforms

If you download or access the Mobile App through a third-party app store or platform ("Third Party"), you acknowledge that:

• The Third Party is not a party to these Terms.
• The Third Party is not responsible for maintenance or support of the Mobile App.
• Pyxi remains solely responsible for the Mobile App, including warranties and handling of claims.
• In case of conflict, the Third Party's terms govern solely in relation to their platform.

3. Eligibility

To use the Services, you must warrant that:

• You are at least 18 years old or the legal age in your country of residence.
• You have the legal capacity to enter into a binding agreement.
• You are acting in a personal, non-commercial capacity.
• You have not been convicted of any violent or sexual offenses (unless officially pardoned).
• You have not been previously banned from the Services without written reauthorization from Pyxi.

4. Description of Services

Pyxi provides a platform to connect individuals for thoughtfully curated dinners and social experiences in small group settings.

Please note:

• Our tables are typically 4–5 guests. Occasionally, due to cancellations or no-shows, tables may have 3 or 6 guests.
• Guest composition is not guaranteed (e.g. gender, age, background).
• Participant compatibility is not assured.
• You may be seated with participants you've dined with previously.

Starting August 11, 2025, with the introduction of our +1 feature, you acknowledge and accept that you may be seated with a pair of guests who already know each other.

5. Event Logistics

Event details (e.g. location, time) are communicated in advance via the Platform. Pyxi reserves the right to change the venue or time in case of unforeseen circumstances.

Guests must attend solo unless explicitly permitted under a +1 feature. Unregistered attendees—including other Pyxi members not registered for the specific event—are not allowed.

Unless otherwise stated, the cost of food and drinks is not included in the Pyxi service fee.

6. Dietary Requirements

You are responsible for reviewing menus and speaking directly with restaurant staff regarding allergens. While we will do our best to accommodate dietary needs, we cannot guarantee:

• Absence of cross-contamination.
• That restaurants will meet all preferences.

Notify us in advance, and we will attempt to adjust your reservation—however, accommodations are not guaranteed.

7. Dinner Conduct

• Dinners typically begin at 7:00 PM, unless otherwise stated in your confirmation.
• You may leave at any time, though we ask that you notify us of late arrivals (over 10 minutes).
• We are not responsible for personal preferences (e.g. sharing plates or ordering style).

All guests are expected to maintain an atmosphere of respect, courtesy, and open-mindedness.

8. Cost & Payment

Dining experiences are aligned with your selected budget preference:

These are based on a main course and non-alcoholic beverage. Additional items (e.g. appetizers, alcohol, taxes, gratuity) are not included.

Payments & Refunds:
All payments are processed via third-party providers. Refunds are handled in accordance with our [Refund Policy, see below p.9], available via the support portal. Unless otherwise stated, purchases are non-refundable.

9. Cancellation & No-Show Policy

• You may cancel up to 48 hours before the event for a refund or rescheduling.
• Late cancellations or no-shows will result in a forfeited fee.
• Repeated no-shows or late arrivals may lead to account warnings or suspension.
• Only bookings made via the Platform are valid and eligible for support or refund.

10. Respectful Conduct & Personal Safety

While Pyxi fosters meaningful social connections, we cannot monitor or guarantee participant behavior. By using the Services, you agree to:

• Be respectful and considerate to all participants.
• Never send money or financial information to other users.
• Share personal details only at your discretion.
• Report any inappropriate behavior or safety concerns to Pyxi immediately.

In emergencies, always contact your local authorities.

11. Reporting & Feedback

• You may leave the event at any time if uncomfortable.
• Positive experiences may be shared as optional testimonials.

12. Prohibited Activities

Pyxi investigates complaints related to misconduct. If a formal report is made, we will act based on evidence-based findings.

You agree not to:

• Solicit personal or financial information from others.
• Use another user's account without permission.
• Promote commercial services through the Platform.
• Harass, intimidate, or make false accusations against others.

Unsubstantiated accusations may result in suspension and potential legal consequences (e.g., defamation).

13. Intellectual Property

All content on the Platform (e.g., logos, graphics, software) is the property of Pyxi or its licensors. You are granted a personal, non-transferable license for non-commercial use only.

14. Privacy & Data Protection

Pyxi complies with the UK GDPR and relevant data protection laws. Please review our [Privacy Policy] for full details on how we collect and process your data.

15. Modifications to Terms

We may update these Terms at any time. Notice of significant updates will be provided via email. By continuing to use the Services after changes are made, you accept the revised Terms.

16. Customer Support Conduct

We are committed to respectful communication. However, Pyxi reserves the right to restrict or end communication with Users who:

• Harass or threaten Pyxi staff or users;
• Repeatedly raise resolved issues;
• Submit requests in bad faith;
• Violate these Terms or applicable laws.

17. Limitation of Liability

To the maximum extent permitted by law, Pyxi is not liable for indirect or consequential damages. Our total liability is capped at the amount you paid to Pyxi in the 12 months preceding any claim.

18. Force Majeure

Pyxi is not liable for disruptions due to force majeure events (e.g., natural disasters, health crises, strikes, fires), as recognized under UK and EU law.

19. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Kingdom and the European Union.

In the event of a dispute, you agree to attempt mediation before pursuing legal action.
